The facility will be the largest of its kind in Georgia and the region with enough capacity to deliver high quality clinical and pathology tests to the country’s entire population

(Cairo and London) – Integrated Diagnostics Holdings (“IDH” or “the Company”), a leading consumer healthcare company with operations in Egypt, Jordan, Sudan and Nigeria, announced today that its Jordan-based subsidiary Biolab has entered into an agreement with Georgia Healthcare Group PLC (GHG) to establish a Mega Laboratory (Mega Lab) in the Georgian capital of Tbilisi.

Under the agreement, Biolab will provide GHG with (1) training and management services including the implementation of Biolab’s technological platforms and laboratory information management systems (LIMS) and (2) consultancy and support to achieve Joint Commission International Accreditation (JCI) for the Mega Lab within two years from the expected launch date.

Biolab will retain up to 10% equity ownership in the Mega Lab and will receive a fixed annual management fee and a share of annualized profits to cover costs and expenses, in addition to an annual service fee.

The 7,500 square meter, multi-disciplinary Mega Lab will be the largest of its kind in Georgia and the Caucasus region and will be equipped with state-of-the-art technology covering the full suite of clinical and pathology tests. The Mega Lab will initially serve GHG’s network of over 37 hospitals and 16 district polyclinics utilizing one-third of the facility’s capacity, with plans to develop a B2B network of healthcare providers outside the Group to reach full utilization.

Commenting on the agreement, IDH’s Chief Executive Officer Dr. Hend El Sherbini said:

Integrated Diagnostics Holdings, a leading consumer healthcare company with operations in Egypt, Jordan, Sudan and Nigeria, recently launched the rebranding of Echo-Lab, its radiology and laboratory service in Nigeria.
IDH aims to transform Echo-Lab into Nigeria’s market leading medical diagnostics brand. The Company also aims to provide accessible and good quality diagnostics services to patients and doctors in Nigeria and to build a world-class integrated diagnostics business and vastly enhance Nigeria’s healthcare offering.

Senior management at IDH were joined at the launch event by suppliers, doctors and corporate clients to hear about IDH’s plans for Echo-Lab and how they will directly impact the lives of patients.
The Nigerian healthcare market, which is driven by increasing urbanisation and evolution of disease patterns, is growing rapidly and there is significant existing demand to deliver additional value to customers.
On 1 December 2017 IDH and Man Capital LLP acquired a majority stake in Echo-Scan, in partnership with the International Finance Corporation (“IFC”). Over the coming year, Echo-Lab will refurbish and upgrade existing locations as well as significantly augment its number of branches. The Group will call on IDH’s more than four decades of experience in Africa’s medical diagnostics industry and Man Capital’s decades-long presence in West Africa to drive expansion, hiring, and institutionalisation at Echo-Lab.

(Jersey) Integrated Diagnostics Holdings (“IDH” or “the Group”), IDHC on the London Stock Exchange, Egypt’s largest fully integrated private-sector provider of medical diagnostics services, announced today the appointment of Omar Bedewy as Vice President Finance and Strategy.

Mr. Bedewy has more than 16 years of financial services experience acquired in the Middle East North Africa (MENA) region. Having worked in investment banking, private equity and investment consultancy, he brings to IDH a diverse background in transactions, including M&A advisory, financial restructuring and capital raising services for both buy- and sell-side clients.

Mr. Bedewy began his career on PricewaterhouseCooper’s corporate finance team, where he was broadly exposed to due diligence and financial advisory transactions. He later became part of the newly-established Citadel Capital subsidiary ASEC as Investment and M&A Manager, assisting the group in acquisitions across the MENA region. During this time, his team spearheaded successful investments and transactions in Sudan, Algeria, Libya, Iraq and Egypt. Prior to joining IDH, Mr. Bedewy was financial advisor to Easy Group, where he led a restructuring plan that included the raising of new debt facilities to finance expansion plans. He holds a BS in Economics from Cairo University and is both a Chartered Alternative Investment Analyst (CAIA) and Financial Risk Manager (FRM).

Commenting on Mr. Bedewy’s appointment, Dr. Hend El Sherbini, Group Chief Executive Officer at IDH, said, “We are pleased to have a professional with Omar’s background and experience join our company. Cairo, Egypt, 1 December 2017

Integrated Diagnostics Holdings (“IDH”), IDHC on the London Stock Exchange, the largest fully integrated private-sector provider of medical diagnostics services in Egypt, Jordan and Sudan, and Man Capital LLP (“Man Capital”), the investment arm of the Mansour Group, announced today their first investment in Nigeria’s promising healthcare industry.

The investment will see Dynasty Group (“Dynasty”), a joint venture that is 51% owned by IDH, partner with the International Finance Corporation (“IFC”), a member of the World Bank Group, to invest in Eagle Eye Echo-Scan Services Limited (“Echo-Scan”), a leading medical diagnostics business based in Nigeria.

The transaction will see Dynasty acquire a majority stake in Echo-Scan and assume management control of the company, while both Dynasty and the IFC will invest USD 25 million to expand Echo-Scan’s nationwide service offering, footprint, and quality standards. Over the coming year, Echo-Scan will refurbish and upgrade existing locations as well as significantly augment its number of branches.

Echo-Scan’s growing network of medical diagnostic laboratories is currently spread across 12 locations in six states. The investment from Dynasty and the IFC will help bring best-in-class medical diagnostic practices and technology to Nigeria, ensuring Echo-Scan delivers global-standard pathology and radiology services across Nigeria.

Dynasty will help service the significant demand for healthcare equipment and services in Nigeria, which is driven by increasing urbanisation and evolution of disease patterns in Africa’s most populous country. The Group will call on IDH’s more than four decades of experience in Africa’s medical diagnostics industry as well as Man Capital’s resources and the network of the wider Mansour Group, with its decades-long presence in West Africa, to drive expansion, hiring and institutionalisation at Echo-Scan.

Dynasty’s strategy is to build a leading diagnostics platform across the Middle East and Africa.

Dr. Hend El Sherbini, Chief Executive Officer of Integrated Diagnostics, said: “We are exceptionally pleased to be adding Nigeria, the continent’s largest and most populous country, to our platform as our fourth country of operations. Dynasty’s goal is to transform Echo-Scan into Nigeria’s market leader by establishing and growing a brand that will be equally attractive to walk-in patients, to insurers and to corporate clients.”

IDH operates 377 branches across Egypt, Sudan and Jordan and served 4.7 million patients in the first nine months of 2017 with a comprehensive range of medical diagnostic services. The company serves both individual “walk-in” patients and patients on corporate and insurance contracts.

Mohamed Mansour, Founder and Chairman of Man Capital LLP, said: “Whilst Nigeria’s healthcare industry has been on our radar for a long time, this deal represents our first foray into healthcare.
