IDH RELEASES 1H2021 FINANCIAL RESULTS

(London and Cairo) Integrated Diagnostics Holdings (“IDH,” “the Group,” or “the Company”), a leading consumer healthcare company with operations in Egypt, Jordan, Sudan and Nigeria, released today its reviewed financial statements and operational performance for the first half of 2021, recording revenue of EGP 2,293 million, up 141% versus the comparable period of last year.

(Cairo and London) — Integrated Diagnostics Holdings (“IDH,” “the Company” or “the Group”), a leading consumer healthcare company with operations in Egypt, Jordan, Sudan, and Nigeria, announces that Biolab, IDH’s Jordanian subsidiary, has been selected as the preferred bidder by Airport International Group, the operator of Amman’s Queen Alia International Airport (QAIA), to operate testing stations in QAIA’s departure and arrival areas primarily dedicated to PCR testing for Covid-19.

The main focus of the testing stations will be to offer PCR testing for Covid-19 to passengers arriving in Jordan, as well as additional diagnostic tests to patients including rapid PCR testing for Covid-19 for departing passengers and other, more generic diagnostic tests. The agreement came into effect on 1 August 2021.

Commenting on the partnership, Dr. Amid Abdelnour, Biolab’s founder and CEO, said: “We are proud to have been selected as the preferred bidder by Airport International Group which will enable Biolab to continue playing a frontline role in the country’s fight against the pandemic. In parallel, this will allow us to expand our patient base and reach across new segments of the population in turn driving further growth across our operations. This is also a testament to the strong reputation for high quality and affordability offered by Biolab, which in the past two decades has grown to become a household name in Jordan’s diagnostics industry.”

Nicolas Claude, CEO of Airport International Group, commented: “We are pleased to be partnering with Biolab, which is a reputable Jordanian diagnostic tests provider. As the aviation industry works to recover from the severe repercussions of the Covid-19 pandemic, presenting passengers with access to reliable, internationally accredited PCR testing for the coronavirus is vital. By providing testing stations at both Arrivals and Departures, we are actively prioritising the health and safety of our passengers and employees, whilst maintaining a positive travel experience and bolstering traffic via Queen Alia International Airport.”

IDH CEO Dr. Hend El Sherbini, added: “I am delighted with Biolab’s ability to secure this landmark partnership, which is only the latest in a series of agreements signed by IDH over the last twelve months to offer Covid-19-related tests to travellers. This is a necessary aspect to safeguard the health of passengers and crew members while supporting a return to regular international travel across the region. Looking ahead, our main priority across both Egypt and Jordan remains helping local authorities combat the spread of Covid-19, and in the coming months we will look for new opportunities to offer our Covid-19-related services to a growing number of patients across both countries.”

Established in 2001 by Dr. Amid Abdelnour and acquired by IDH in 2011, Biolab currently operates 20 branches across the country offering a complete range of laboratory and diagnostic services to more than half a million patients each year. Since the start of the Covid-19 pandemic, Biolab has performed more than 600 thousand PCR and Antibody tests, playing an important role in combatting the spread of the virus in Jordan. In 2020, the Group’s Jordanian operations were the second largest contributor to IDH’s consolidated revenue with a share of 15.4% up from the 11.5% contribution made in 2019. Queen Alia International Airport is Jordan’s main and largest airport, and in just the first six months of 2021 it welcomed over 1.2 million passengers.

(Cairo and London) — Integrated Diagnostics Holdings (“IDH,” “the Company” or “the Group”), a leading consumer healthcare company with operations in Egypt, Jordan, Sudan, and Nigeria, announces that it has secured a USD 45 million debt financing package from the International Finance Corporation (IFC), the largest global development institution focused on the private sector in emerging markets.

The eight-year loan will be used to finance IDH’s growth plans across new and existing markets and help expand access to high-quality diagnostic services in high growth emerging markets, in addition to its current presence in Egypt, Jordan, Nigeria and Sudan. More specifically, the Company is seeking value-accretive acquisition opportunities in African, Middle Eastern, and South Asian markets where its business model is well-suited to capitalise on healthcare and consumer trends similar to those prevailing in its existing markets. Additionally, the financing package will also be utilized in expanding IDH’s medical services and test portfolio, with a particular focus on testing for Covid-19 in Egypt and Jordan as both countries continue to battle the Covid-19 pandemic, while growing IDH’s branch network to improve accessibility and reach.

Commenting on the loan agreement, IDH CEO Dr. Hend El Sherbini, said: “We are very excited to be partnering up with the IFC on this new debt financing agreement, which allows IDH to deliver on its strategic objective of expanding access to high quality, affordable healthcare and diagnostic services in new and existing markets, while also delivering on the IFC’s goal of promoting economically, socially, and environmentally sustainable private investment. This new agreement further strengthens our existing long-term strategic cooperation that began with our co-investment in Nigeria, where we have jointly deployed millions of dollars to bring best-in-class medical diagnostic practices and technology to Africa’s most populous country. Through this new debt financing agreement, we are once again reinforcing our commitment to the healthcare sector across emerging markets, delivering on our shared strategy and aligned ESG goals to provide communities with the tools they need to better their lives.”

“The USD 45 million debt financing package will allow IDH to expand healthcare accessibility by growing its regional footprint through potential acquisitions, as well as expanding our current medical service offering, geographical reach, and digital offering to ensure that we provide access to as many patients as possible. In parallel, we continue to invest in further diversifying our test portfolio and in training our employees so that we can deliver the best quality test packages to our clients. We take pride in our partnership with a prestigious institution like the IFC and look forward to leveraging its financing muscle along with our on-the-ground capabilities to meet the strong demand for healthcare services in our region,” El-Sherbini added.

 Sérgio Pimenta, IFC Vice President, Middle East and Africa, said: “In these challenging times, it is crucial to support a strong private sector health organization like IDH. Helping the company expand and diversify will mean more quality diagnostic services and better health outcomes for patients in Egypt and other countries. It is also encouraging to see IDH playing a leading role in Covid-19 testing in Egypt and Jordan and expanding in-home testing services to cater to patients during lockdowns.”

With support from IFC, IDH is also aiming to become the first healthcare provider in the Middle East and Africa to obtain IFC’s EDGE Gender Equality Certification by creating optimal workplaces for women and men. IDH is already a founding signatory to IFC’s Ethical Principles in Healthcare, which promote ethical practices across the international private healthcare delivery system.

IFC’s financing package is part of its strategy to help private health providers in the Middle East, Africa and South Asia meet the soaring demand for health care and support governments in their goal of reaching Universal Health Coverage.

Renaissance Capital is advising the Company in connection to the financing. Clifford Chance (as to English and US law), and Nour & Partners in Association with Al Tamimi & Company (as to Egyptian law) are acting as legal counsel to the Company.

(Cairo and London) — Integrated Diagnostics Holdings (“IDH,” “the Company” or “the Group,” IDHC on the London Stock Exchange), a leading consumer healthcare company with operations in Egypt, Jordan, Sudan, and Nigeria, announces that its EGP-denominated and dual-listed ordinary shares begin trading today on the Egyptian Exchange (“EGX”) under the ticker code IDHC.CA and ISIN code EGS99021C015, complementary to its trading on the London Stock Exchange (“LSE”).

Trading begins today after the Company has satisfied all regulatory approvals for its technical listing on the EGX without any concurrent offering of new shares by the Company, the first of its kind on the EGX, and meets the regulatory requirements of the EGX listing and delisting rules, including a 5% minimum free float (equivalent to 30,000,000 shares) on the exchange. The technical listing allows Egypt-based investors, who are sometimes unable to access shares traded on the LSE, an opportunity to trade on IDH’s shares and capitalise on the Company’s strong growth prospects in the fast-growing Egyptian healthcare sector. The listing of the EGP-denominated shares is complementary to the Company’s USD-denominated shares that are currently listed and traded on the LSE.

Commenting on the commencement of trading on the EGX, IDH CEO Dr. Hend El Sherbini, said: “Today marks a truly exciting day for IDH as we successfully met our goal of offering IDH’s unique value proposition to the widest investor base possible. With our shares now dual-listed on the both the LSE and the EGX and tradeable in a fully fungible manner, IDH has gained access to a larger pool of geographically diversified investors, and we look forward to increased participation from local retail and institutional investors as well as global emerging markets specialists who regularly invest through the EGX. As a leader in the Egyptian and regional healthcare diagnostics business, IDH offers investors an attractive opportunity to capitalise on fast-growing, underserved healthcare markets through an organization with a well-suited business model and clearly defined growth strategies.”

The Financial Regulatory Authority (FRA) commented: “We are very pleased that IDH has decided to list its ordinary shares in its home market of Egypt, furthering our goal of expanding the nation’s investment universe and offering investors exposure to a wider breadth of industries. On the other hand, the dual listing positions IDH as the sole dual-listed Egyptian healthcare company on both the Egyptian Exchange and the London Stock Exchange, setting a new benchmark for both local and foreign companies aspiring to go public, while also tapping into a larger and more geographically diversified pool of global investors.”

Dr. Mohamed Farid, Chairman of the Egyptian Exchange, added: “We are delighted to welcome IDH to the Egyptian Exchange, the second company to debut on the Egyptian bourse this year, and the first ever to do so through a technical listing of this kind. With a market capitalization of over USD 650 million (EGP 10 billion) we are confident the Group will add significant value to the Egyptian Exchange and strengthen our position as a key entry point for MENA equity and debt capital markets. With multiple other listings still in the pipeline for the remainder of the year, 2021 is shaping up to be an incredibly exciting year for the EGX and more generally for Egyptian businesses as a whole.”

EFG Hermes and Renaissance Capital are advising the Company in connection with the dual listing. Clifford Chance (as to English and US law), White & Case (as to Egyptian law) and Ogier (as to Jersey law) are acting as legal counsel to the Company.

Mostafa Gad, Co-Head of Investment Banking at EFG Hermes added: “IDH’s dual listing will help improve liquidity and drive volumes in the Company’s shares while simultaneously increase its visibility in Egypt where the Company generates the majority of its revenue and earnings. EFG Hermes is particularly excited to have advised on the technical listing which does not involve any sale of shares and is the first of its kind on the EGX. The technical listing offers an efficient path to achieving the Company’s long-held goal of a dual listing, and follows a successful roadshow that garnered strong interest from local investors looking to capitalize on IDH’s growth story. At the same time, the technical listing rewards IDH with all the benefits of trading across two exchanges in a fully fungible manner.”

The dual listing boasts a fungible structure between the LSE and the EGX whereby shares are easily transferred between the two exchanges through a set share transfer mechanism. Full details of the mechanism are available at IDH’s website.

A strategic expansion that is set to transform IDH’s Egyptian operation into a one-stop-shop diagnostics service provider; the investment is planned to have limited impact on cashflows

Integrated Diagnostics Holdings (“IDH,” “the Company” or “the Group,” IDHC on the London Stock Exchange), a leading consumer healthcare company with operations in Egypt, Jordan, Sudan, and Nigeria, is set to launch a radiology business in Egypt.

IDH is building a national brand in Egypt with a service offering highly complementary to its existing pathology-focused medical diagnostics services

“Our expansion into a high-value, adjacent segment of our industry is a milestone in the development of IDH on par with the expansion into Africa that now sees operations in three countries outside Egypt contributing double-digit percentages to our top line,” said Dr. Hend El Sherbini, Chief Executive Officer of IDH.

“Our market in Egypt is growing in the double digits, and so is our top line. Today, more than 75% of customers surveyed by a third-party research provider indicate a preference for consolidated service offerings that feature both pathology and radiology — and there is significant existing demand for us to capture. Our expectation is that our pathology business will deliver new patients to our radiology business and that, in the fullness of time, having both services under one roof will also drive growth in our pathology test volumes.”

“Importantly, our expansion into the fragmented radiology market will be powered by the strong relationships between our brands and our millions of customers as well as the physicians who trust us to be part of their diagnostic and treatment plans,” El Sherbini noted.

Al Borg Scan will offer a full range of radiology services, including but not limited to magnetic resonance imaging (MRI), computed tomography (CT), ultrasound, x-ray, mammograms and cath lab facilities. It will draw on Al Borg’s brand equity to position itself as a premium service provider offering the full range of imaging services using the latest technology and highly trained staff. Medical equipment suppliers for the new venture are global brand names including Siemens, Hitachi, GE Healthcare, and Fujifilm. The company will emphasize convenience with the rollout of its mobile app and website and reinforce its high-end brand positioning with a premium facility and atmosphere at each of its branches. The business will be led by a group of the nation’s most prominent radiologists with a track record at Egypt’s leading hospitals and radiology centers.

Up to 70% of the cost of the expansion into radiology is now in place through an EGP 130.5 million, eight-year facility from the Ahli United Bank of Egypt. The facility is ring-fenced to Al Borg with no guarantees from, or recourse on, IDH or any of its other subsidiaries. The balance of the investment is planned to be financed from the operating cashflows of Al Borg.

IDH delivered 29% top-line growth in the first quarter of 2018, performing 6.6 million tests (+8% compared to 1Q2017) for 1.7 million patients (+13% year-on-year), underscoring the health of its core business as Egypt recovers from a period of devaluation and high inflation. Nigeria is the company’s newest expansion market, making its first contribution to the Group’s consolidated revenues in 1Q2018. IDH is expected to announce 1H2018 results on 16 August 2018.

How does listing on the stock market create benefits for Egyptian health care companies?

HEND EL SHERBINI: We considered an initial public offering for quite some time before finally listing in 2015. In our case, we wanted to raise capital and institutionalise management in order to continue expanding our reach, while at the same time improving the quality of our diagnostic centres by implementing the latest in international standards. Given that we mostly work with international suppliers, we also thought that growing our business in this way would give us greater leverage in negotiating contracts, which is something that applies to all large companies, no matter which sector, vis-à-vis smaller ones. Right now there is a lot of interest in health care in general, not only in diagnostics but also in hospitals and medical supply manufacturers. For instance, a number of private equity companies have, or are in the process of, acquiring private hospitals. There have also been some recent acquisitions of local pharmaceutical companies. This demand is not only coming from the local or regional market. When we were on our road show, investors from Dubai, South Africa, the US and Europe all expressed interest in the sector.

Which are the most important factors driving demand for health care services?

SHERBINI: The biggest factor is the population, which is driving demand for everything from diagnostics to pharmaceuticals to hospital care. Health care in Egypt remains highly fragmented and localised, which has a negative impact on service quality. This, however, also creates opportunities for consolidation, economies of scale and, consequently, improved services. For instance, when we were conducting research on the diagnostics market, we found that there were more than 5000 labs with at least one doctor in the country. While this looks like a reasonably adequate number when you consider the country’s total population, after further examination we realised that demand actually far exceeded supply because most of these labs are very small, with limited and outdated offerings. This is further complicated in a heavily congested place like Cairo, because patients often have to go to more than one lab to complete all of their tests, spending a significant amount of time in traffic. Through consolidation, and by putting all the necessary tests under one roof, efficiencies can be achieved and the lives of ordinary Egyptians can be greatly improved. The quality and price of services are very important in Egypt, as the vast majority of health care spending that is not provided by the state, whose resources are lacking, is out-of-pocket. Consumers are becoming savvy and they quickly figure out which centres offer the best quality for the right price.

What types of policy changes would result in a more efficient health care system for Egyptians?

SHERBINI: There are a number of steps that can be taken. For instance, in diagnostics, quality standards need to be updated and enforced. This is quite important for the system overall, given that physicians primarily treat patients based on lab results. A more inclusive, universal health insurance scheme would also be welcomed. At the moment, many people are insured through corporates, such as banks and oil companies, or syndicates that are able to negotiate lower prices for treatment than for individual patients. While many syndicates do cover portions of the lower-middle class, there are still huge segments of the population that do not have access to quality health care because they lack insurance. There also needs to be a greater role for the private sector. Many state-owned hospitals in the country are not properly run and need professional management. Consolidation of private hospitals could help to fill the services gap, but we need to be sure that they are also run by qualified, professional managers, not just investors.

Few people, even in Egypt, have heard of Hend El Sherbini. But she last year pulled off an amazing feat with the help of Abraaj Group: In May, she led her lab company, Integrated Diagnostics Holdings, to an IPO on the London Stock Exchange that put its value at $668 million.

IPOs in the Middle East are still rare — those of companies led by women, incredibly so (I don’t know of any others, though would be glad to hear of some in the comments at the end).

Small, soft-spoken and steely, El Sherbini described how she built her company from one lab founded by her mother to, according to its web site and El Sherbini, a company with 4,000 employees, 290 branches and four central labs across the Middle East.

Her advice for other women entrepreneurs: “Don’t listen to what people are saying, because they’re probably jealous. You have to have a lot of self-confidence, especially here in Egypt and the Middle East. You’re not a second-rate citizen. Trust your gut.”

In an interview in her Cairo office, we talked about how her parents influenced her career, her perfectionism (obviously a great quality in a pathologist) and clothes. She favors dresses, because they look tidier.

IDH was formed by a merger of Al Mokhtabar, Sherbini’s company, and Al Borg Laboratories, controlled by Abraaj, in 2012. Sherbini became CEO of the combined company afterwards. Abraaj, which I wrote about last year, has a business model that calls for it to work closely with emerging markets companies, often family owned businesses, for five-seven years, building their processes and governance, and then exiting. In the case of Al Borg, which it invested in in 2008, and then IDH, Abraaj focused on building out the governance structure to prepare it for a public listing. IDH also developed a doctor consultancy program for referrals from physicians while Abraaj was working with the company.

IDH had a private chain market share of 55% in 2013. It was the first Egyptian health care company to have an IPO in London. Since the IPO, the stock has since fallen 30% to $3.95, most likely reflecting troubles in the Egyptian economy, which is growing fast but relies on support from the Gulf States. Abraaj exited its stake completely in January of this year.

It has been a busy time for Dr Hend El Sherbini – CEO of Integrated Diagnostics Holding.

In December last year, private equity firm Actis announced an investment for 21 percent of IDH – the largest private sector healthcare diagnostics service provider in Egypt.

The stake was sold by UAE’s Abraaj, and a month later IDH announced plans to list on the London Stock Exchange, targeting a value of around $600 million.

IDH was created in 2012 as a merger of Al Mokhtabar and Al Borg Laboratories. It offers pathology and molecular diagnostics, genetics testing and basic radiology in Egypt, Jordan and Sudan, operating hundreds of laboratories, treating nearly six million patients, and conducting more than 19 million tests per year.

Discussing the proposed IPO, El Sherbini said: “As we continue to build on our success to date, reflecting years of profitable growth, high margins and operational excellence, we believe IDH represents a highly attractive future growth story.  This initial public offering is a pivotal next step for us that will allow us to further accelerate our market penetration and expand our service offerings.
